TDK Ventures is currently seeking a Legal Principal. This is an exciting opportunity for a seasoned legal counsel to work in an award-winning top-tier Corporate Venture Capital fund in Silicon Valley. The Legal Principal is responsible for supporting investments due diligence efforts and termsheet negotiations, bringing value to portfolio companies and drive legal compliance. The role is central to TDK Ventures’ investments, and involves liaising with the most innovative hard-tech startups and investors in the world.
Drive timely legal due diligence for new investment opportunities
Drive all legal matters relating to investments including, but not limited to, crafting of termsheets and support negotiation of incoming termsheets, review and assessment of all investing terms as market or otherwise, and legal risk assessment and mitigation
Manage external law firms and resources including legal/IP experts as appropriate
Identify opportunities to help portfolio companies with legal considerations, including but not limited to, helping them with introductions to law firms that meet their needs, helping with understanding timing for various legal and IP activities they need to plan ahead of time and of future financing rounds
Proactively plan generic and actionable training to portfolio companies as appropriate
Ensure compliance with all appropriate regulatory requirements for all investments (e.g., CFIUS for US-based investments)
Identify opportunities to drive best practices and standardization in both TDK Ventures and TDK at large, especially as it relates to interacting with portfolio companies and startups
Liaise with in-house cross-functional resources as appropriate

J.D. required
U.S. Bar License required
8 to 15 years of law firm and in-house counsel experience in a Corporate VC
In-house counsel experience in a VC or PE firm is a plus
Relevant technology industry experience
Experience with evaluating IP and FTO is a plus
